The commercial bond uniting Chile and China ranks among the strongest and most active in Latin America. An essential basis of this partnership is the Chile-China Free Trade Agreement (FTA), signed in Busan, South Korea, on November 18, 2005; a pact that modified the flow of products, services, and capital between both countries, securing them as key allies within the Pacific Alliance conglomerate.

Steps to create a company in Chile from China

Below, we detail the methodology to achieve the registration of a company in Chile safely and effectively, operating from China.

While this is a task you can do yourself, it is always good to have expert personnel to help and guide you so that you achieve it successfully and in the shortest time possible.

At Iberocapital, our specialty is simplifying this procedure, managing administrative formalities so you can focus on what is fundamental: growing your business..

Step 1: Processing the RUT as a Foreign Investor from China

First, as a foreign investor, you require a tax identification number in Chile.  This is called the Unique Tax Roll (RUT). This document is an indispensable requirement, as without this code, it is impossible to create a company, sign agreements, or perform any commercial operation in Chile.

One of the services we offer at Iberocapital is the processing of your Foreign Investor RUT.

What is the process to obtain your RUT from China?

The application for this document is made before the Internal Revenue Service (SII) of Chile. If you wish to do it from China, it is necessary to designate a legal representative in Chilean territory to act on your behalf. This is formalized through a Power of Attorney (POA) or mandate, which can be granted in three different ways:

1) Directly in a Chilean notary:

If you plan to travel to Chile from China to incorporate your company, this option is the most expeditious and simple way to process your Foreign Investor RUT.

Being in Chile, you must sign a notarized power of attorney in favor of your legal representative, who will manage the investor RUT. It is recommended that this document be issued in a notary that uses an Advanced Electronic Signature.

This power of attorney, along with a legalized copy of your identity documents, is what your representative will present to the SII to complete the application.

2) With a Power of Attorney from China, apostilled:

To create your company in Chile remotely, without having to travel, you must obtain the Foreign Investor RUT. The procedure consists of signing a power of attorney before a notary in China, attaching your identity documents, and then legalizing it through the apostille.

An important aspect is that if the documents are in a language other than Spanish, they must be translated into this language.

Chile does not have the figure of «official translators.» Therefore, this translation must be managed through the MINREL (Ministry of Foreign Affairs) or through a simple sworn declaration. The translation presented must be faithful and integral regarding the content of the original document.

3) Signed at a Chilean Consulate in China:

We have solid experience in incorporating your company in Chile from China because we have represented citizens of various nationalities who have conferred their powers of attorney through notaries in that country.

Chilean legislation contemplates various corporate forms for company registration. The selection will depend on your operating model, the number of shareholders, and the expansion projection.

The most frequent options for foreign investors are:

1.  Joint Stock Company (SpA): Distinguished by being the most versatile and recommended. It admits from a single partner, its management is simplified, and it expedites the future incorporation or withdrawal of capital and new shareholders.

2.  Individual Limited Liability Company (E.I.R.L.): It is the optimal figure for a sole owner. Its main benefit is the legal separation between the entrepreneur’s assets and those of the company.

3. Limited Liability Company (Ltda.): Requires a minimum of two participants. Strategic decisions require unanimous consent, making it ideal for family projects or alliances based on high trust.

The team of specialists at Iberocapital will provide you with the necessary guidance so that you select the structure that best aligns with your strategic objectives.

Step 3: The Procedure for creating companies in Chile from China

After choosing the structure, legal formalization begins. There are two main options:

a) Classic Way (via Public Deed)

Requires drafting the bylaws with a lawyer, signing before a notary, registering the company in the Commercial Registry, and publishing it in the Official Gazette. This is a slower and more expensive procedure, although indispensable for very complex structures.

b) Simplified Way («Your Company in a Day» Platform)

This is the most modern option and the one we recommend given its great speed. Using the government platform of the Registry of Companies and Societies, the creation of the company can be achieved via the internet.

To sign digitally on said platform from China, you will require your legal representative in Chile (a service we provide at Iberocapital) to use their own Advanced Electronic Signature. We assume the task of drafting the bylaws within the portal, guaranteeing that the complete clauses safeguard your rights and capital as a foreign investor.

Every company in Chile requires having a registered physical address for legal and fiscal purposes. When operating from China, this represents a challenge.

Iberocapital Proposal: We offer you a Virtual Office and Tax Domicile service. In this way, you satisfy the legal requirement before the SII without the initial need to rent a physical place, reducing your operating expenses.

Step 5: Start of operations before the SII

Once the company is created, the next step is to activate it fiscally. The Initiation of Activities is a formal oath presented to the Internal Revenue Service (SII) to notify that your company will begin to effect transactions with associated taxes.  This step is indispensable for issuing invoices. To perform it, visit the Internal Revenue Service (SII).

At Iberocapital, we perform this management remotely, validating the address and also registering your company’s activities in Chile from China, so that it is completely ready to operate.

Step 6: Opening a bank account for companies in Chile from China

Generally, this is one of the biggest challenges for foreign investors, as Chilean banking entities are strict and demand diverse documentation. Possessing a formally created company, with its activities initiated and a reliable legal mandatary, is fundamental.

At Iberocapital, we guide you throughout this procedure, preparing the file with the documents and using our contacts to simplify and accelerate the obtaining of your company account.

We help you in the opening of your bank account; with the Constitute Plan of our Monthly Legal Representation assistance, the management of bank accounts in digital entities is contained, such as Mercado Pago, the FAN Empresas Account offered by Banco de Chile, or the SME Digital Account possessed by Banco Scotiabank.

The Commercialize Plan contemplates the service to open bank accounts within traditional banking, such as Banco Santander.

Always take into consideration that banks apply commissions and monthly maintenance charges that depend on the use of their products.
